• "Phygital Smart Gear" means garments integrated with the Plug-and-Play Tech Stack, including Progressive Web Apps (PWAs), Pro eCards, laundry-grade NFC chips, ICE (In Case of Emergency) badges, and marine-grade Velcro docks.
• "Territory" means the exclusive territory of Malta and Gozo.
• "Lares VA Global Network" means the virtual assistant backend operations support network included within the Licence.

2. Grant of Licence

1. Exclusive Rights: The Licensor hereby grants the Licensee an exclusive, non-transferable master licence to market, sell, distribute, and operate the Smart Workwear and Phygital Smart Gear solutions using the Aurora Platform within the designated Territory.
2. Sub-Licensing: The Licensee is granted the right to issue and sell smaller sub-licences to third-party operators within the Territory, subject to the terms of this Agreement.

3. Fees and Commercial Structure

1. Annual Master Licence Fee: The Licensee shall pay the Licensor an annual investment fee of €25,000+ (plus applicable VAT), payable in advance to secure market exclusivity and platform access.
2. Client-Funded Revenue Model: The Licensee shall independently charge end-clients and retain:

4. Support and Operations

1. Included Support: The Licensor shall provide full backend digital setup, system upkeep, and Aurora mapping via the Lares VA Global Network at no additional operational cost to the Licensee.
2. Delivery of Support: Master Facilitator Maltix Connect training and support calls will commence on April 6th, taking place every Monday from 2-3 pm to ensure operational compliance and training.

5. Regulatory Compliance and Safety

1. Data Protection: Both parties agree to strictly adhere to the General Data Protection Regulation (GDPR) and applicable local Maltese data privacy laws regarding any medical, ICE, or personal data transmitted via the PWAs and NFC elements.
2. Liability Limitation: The physical tech setup utilizes a simple DIY, detachable patch system. Once supplied to the client, all physical and technical liability regarding fleet management, patch damage, or data input transfers from the print shop to the end-client is entirely removed from the Licensee.

6. Term and Termination

1. Duration: This Agreement is valid for a period of one (1) year from the date of execution and shall automatically renew upon payment of the Annual Master Licence Fee, unless terminated by either party with 90 days' written notice.
2. Breach: Failure to pay annual fees or unauthorized operations outside of the Territory will result in immediate termination of platform access and forfeiture of exclusivity.

7. Governing Law and Jurisdiction
